ServiceNow (NYSE: NOW), the AI control tower for business reinvention, has announced an agreement to acquire Armis for $7.75 billion in cash. Armis, a leader in cyber exposure management and cyber-physical security, manages cyber risk across IT, operational technology (OT), medical devices, and other environments for companies, governments, and critical infrastructure worldwide.

The acquisition will expand ServiceNow’s security workflow offerings and advance AI-native, proactive cybersecurity across all connected devices. Together, ServiceNow and Armis will create a unified, end-to-end security and operations stack. It will connect real-time asset discovery, threat intelligence, and risk prioritization with automated remediation and response workflows.

Security remains a top priority for CEOs as AI adoption grows. Worldwide end-user spending on information security is expected to rise 12.5% in 2026 to $240 billion. Rising threats and the expanding use of AI are key drivers. Real-time visibility into vulnerabilities and actionable insights are critical to minimize risk.

The acquisition will strengthen ServiceNow’s Security, Risk, and OT portfolios in critical cybersecurity areas. With ServiceNow’s Security and Risk business exceeding $1 billion annual contract value (ACV) in Q3 2025, the company has established itself as a security leader. The deal is expected to more than triple ServiceNow’s market opportunity for security and risk solutions.

Amit Zavery, president and COO of ServiceNow, said the company is building the security platform of tomorrow. “In the agentic AI era, intelligent trust and governance across any cloud, asset, or AI system are non-negotiable. Together with Armis, we will deliver real-time, end-to-end proactive protection across all technology estates,” he added.

Yevgeny Dibrov, CEO of Armis, stated that AI is transforming the threat landscape. “Every connected asset is a potential vulnerability. Together with ServiceNow, customers will reduce exposure and strengthen security at scale.”

Armis extends the full lifecycle of cyber exposure management, discovering assets in real-time and prioritizing the highest risk issues. The integration with ServiceNow workflows will drive end-to-end protection, particularly in industries with cyber-physical assets, such as manufacturing and healthcare.

The acquisition is expected to close in the second half of 2026, subject to regulatory approvals. Upon completion, Armis’ team will join ServiceNow.
